Aged Care & Retirement Living

  • Advised on the establishment of a charitable National Servicemen's Not for Profit entity.

  • Acted for a Not for Profit aged care provider in the acquisition of a 200 bed residential aged care facility in Queensland.

  • Acted for a Not for Profit organisation in the acquisition of a portfolio of residential aged care facilities and retirement villages in Queensland.

  • Provided complex regulatory compliance advice to a large Not for Profit aged care provider and retirement village operator to assist them to develop an innovative, multi-disciplinary seniors living model to be implemented at multiple sites that will offer a range of services on one campus, including residential aged care, freehold strata apartments, dual key apartments, independent living units, community aged care services and affordable housing services.

  • Acted for a Not for Profit provider of aged care services in relation to an application for exemption of stamp duty on two parcels of land purchased and earmarked for aged care developments.

  • Drafted key employment agreements (a chairman appointment agreement for General Peter Cosgrove and chief executive contract) for Leading Age Services Australia, a peak body for age services in Australia.

  • Undertook workplace relations compliance audits for Not for Profit aged care providers and provided workplace relations advice. 

  • Provided advice to a large Not for Profit residential and community aged care provider on all issues relevant to a major information technology procurement process including:

    • licensing
    • implementation
    • service agreements
    • electronic health records
    • privacy
    • cloud computing
    • out-sourcing.

  • Provided advice to Leading Age Services Australia on re-branding, the filing of trademarks and business names for state members.

Disability Services

  • Provided advice to a large disability service provider in relation to the development of a system of policies and procedures for managing clients with challenging behaviours.

  • Provided training and development on legal issues for managers across multiple sites of a disability service provider (issues covered include impaired capacity, guardianship, medical management and workplace health and safety).


  • Undertook a review of and advised on constitutional changes and updates for numerous community controlled Aboriginal medical services.

  • Advised and redrafted the current governance arrangements of a Queensland peak Indigenous organisation.

  • Advised a peak Indigenous organisation on the acquisition of IT software licenses and dispute resolution options in relation to an incomplete IT system.

  • Advised an independent medical research institute on rights to access patient data and medical records for research purposes.

  • Advised on the structure and establishment of a centre for rural and remote mental health, including establishing the company and negotiating funding arrangements with Queensland Health.


  • Established and will continue to provide ongoing assistance to a large number of Cooperative Research Centres, including the establishment of the CRC for Water Sensitive Cities and CRC for Plant Biosecurity in 2012.  This work includes advising CRCs prior to establishment on the most suitable company structure, governance and IP arrangements in light of its particular purpose; providing risk analysis and risk mitigation strategies in relation to each establishment option; preparing constitution for and incorporating the CRC company; providing a company register and instructions to ensure compliance with initial processes and ongoing legislative requirements; preparing, advising on and negotiating participant agreements with a large number of stakeholders; preparing ancillary agreements such as secondment and services agreements.

  • Provided winding up advice and transitioning options to cooperative research centres.

  • Advised on and established a Not for Profit company with a DGR gift fund to support public policy research.

  • Established research joint ventures and collaborations in a number of different models, comprising participants from industry, government and research organisations, including the International Energy Centre. 

  • Provided advice to a collaborative research organisation regarding trade practices risks.

  • Advised on, and drafted documentation for, the establishment of a joint venture research centre in tropical health.


  • Advised a child safety and protection organisation on various corporate governance issues and necessary amendments to their constitution.

  • Assisted in the development of emergency 2.0 wiki (a government initiative), to provide best practice advice on how to use social media and web2.0 in all phases of emergency management.

  • Advised on and drafted documentation for the establishment of a Foundation as a private ancillary fund.

  • Provided advice to a Not for Profit on legal and constitutional obligations to maintain a trust account and separate trust funds from general company funds.
